QSSR, based in Mijdrecht, was a small but specialized transport company with 2 employees. The company focused on special road transport and realized an annual turnover of approximately €120,000. The owner, Pim Pols, built up a loyal customer base over the years and had several company vehicles with which he provided his services.
The buyer
The acquiring party, MJB Transport, is an industry peer within the logistics sector. For them there was a clear strategic opportunity: by acquiring the assets of QSSR, MJB Transport could expand their customer base, increase sales and strengthen the fleet. Importantly, in addition to the vehicles, the goodwill, name and customer base were also part of the deal.
Role of Next Steps
Next Steps supervised the entire process from start to finish. We drafted a Letter of Intent (LOI), made a valuation and supported both parties during the due diligence. We also prepared and supervised the final purchase agreement. Because buyer and seller already knew each other, the process went smoothly and was successfully completed in a short period of time.
Result
For MJB Transport, the acquisition meant a direct strengthening of the market position: more customers, additional turnover and expansion of the fleet. For salesman Pim Pols this was a good moment to bid farewell to his company with peace of mind and enjoy his retirement. Continuity towards customers remained fully guaranteed.
